TERMS OF USE

1. Scope and Acceptance of the Terms of Use

These terms of use (the “Terms of Use”) are entered into by and between Coda Payments Pte. Ltd., a company established under the laws of Singapore, having its registered address at 21 Tanjong Pagar Rd, #03-01/02 Singapore 088444 (“Coda Singapore”) and/or its affiliates and subsidiaries (collectively referred to as “Coda” or “we”), and you and govern your access to and use of the EA Sports FC Mobile Web Store (the “Web Store”). PLEASE READ THESE TERMS OF USE CAREFULLY.

BY ACCESSING OR USING THE WEB STORE, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS OF USE, TERMS AND CONDITIONS OF SALE, LOYALTY PROGRAM TERMS AND CONDITIONS AND OUR PRIVACY NOTICE. IF YOU DO NOT AGREE TO THESE TERMS OF USE OR THE PRIVACY NOTICE, YOU MUST NOT ACCESS OR USE THE WEB STORE. 

By using this Web Store, you represent and warrant that you are 18 years or of the legal age of majority in the place of your residence. The Web Store is not directed to minors.

2. Changes to the Terms of Use and Web Store

Coda may make changes to these Terms from time to time for various reasons including:

1. to reflect changes to the Digital Product, Game or Web Store;
2. to comply with changes in applicable law or regulation;
3. for security purposes; and/or

to reflect changes in our business practices or operations.

If a change to these Terms of Use materially modifies your rights and/or your or our obligations, we will notify you reasonably in advance by posting a notice on the Web Store or by some other reasonable method. We may require that you accept the modified Terms of Use in order to continue to use the Web Store. Your continued use and/or access of the Web Store following any changes to the Terms of Use (and, if applicable, the relevant period of notice) shall be deemed as your acceptance of the amended Terms of Use.

The date of the last update is set out at the top of the Terms of Use. We recommend that you regularly check these Terms of Use for the latest version.

Coda may provide new features, upgrades, updates, patches, and other modifications to the Web Store (collectively, the “variations”). We may update, patch, or modify the Web Store, the mobile applications, or any of our platforms remotely. You hereby grant to Coda the right to deploy and apply such variations. All provisions of these Terms of Use shall also apply to all such variations.

3. Use and Ownership of Intellectual Property Rights

The Web Store and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement) are owned by Coda or its licensors (including, but not limited to Electronic Arts, Inc. (“Electronic Arts”or “EA”)) and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights. 

Coda grants you a non-exclusive, non-transferable, revocable, limited right and license to access and use the Web Store for your personal and non-commercial use, subject to these Terms of Use.

Coda is entitled to suspend or terminate such license (and therefore your use/access of the Web Store) and close your EA Account with or without prior notice to you if Coda discovers or suspects, acting reasonably, that your use of the Web Store and/or Digital Product violates these Terms of Use.

You must not copy, reproduce, distribute, copy, modify, adapt, decompile, disassemble, reverse engineer, disseminate, broadcast, circulate, edit, create derivative works of, display, perform, publish, download, store, or transmit any of the material available on the Web Store (including, without limitation, the display and distribution of any of the material on Web Store via third-party websites or other networked computer environment), except that your computer and browser may temporarily store, or cache copies of materials being accessed and viewed. You must not  commercialise any information, goods or services from or in connection with any of the Digital Product or the Web Store.

Except as expressly authorised by these Terms of Use, no right, title, or interest in or to the Web Store or any content on the Web Store or acquired through the Web Store is transferred to or vested in you. All rights not expressly granted by these Terms of Use are reserved by Coda and its licensors.

4. Trademarks

Coda name, Coda logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Coda or its affiliates or licensors. You must not use such marks without the prior written permission of Coda.

Electronic Arts, EA SPORTS FC, and all related names, logos, designs and artwork are trademarks and/or copyrights of Electronic Arts Inc. You must not use such marks without the prior written permission of Electronic Arts.

5. Prohibited Uses

These Terms of Use permit you to use the Web Store for your personal, non-commercial use only.  You agree not to use the Web Store:

1. In any way that violates, intentionally or unintentionally, any applicable federal, state, local, or international law, guideline, rule, code, directive, policy or regulation (including, without limitation, any laws regarding the export of data or software, anti-money laundering, or counterterrorism), or for any other unlawful purpose whatsoever.
2. To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
3. For any commercial purpose or the benefit of any third party or any manner not expressly permitted in these Terms of Use.
4. To impersonate or attempt to impersonate any other person or entity, or otherwise misrepresent your affiliation with a person or entity.
5. To engage in any fraudulent activity.
6. To engage in any other conduct that restricts or inhibits anyone’s use of the Web Store, or which, as determined by us, may harm Coda, or expose us to liability.

Additionally, you agree not to:

7. Disguise (including by the use of a VPN or similar technology) your origin, physical location, place of residence, or any identifiers, intentionally or otherwise, to get around  any geographical restriction or country-specific terms that may apply to you otherwise, to purchase products and/or services not available or applicable in your country of residence, or for any other unlawful purpose.
8. Interfere with any other users’ use of the Web Store;
9. Use the Web Store in any manner that could disable, overburden, damage, interfere with, manipulate, disrupt or impair the Web Store or interfere with any other party’s use and enjoyment of the Web Store, or any other users’ use and enjoyment of the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services.
10. Disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges.
11. Use any robot, spider, or other automatic device, process, or means to access the Web Store for any purpose, including monitoring or copying any material on the Web Store.
12. Use any manual process to monitor or copy any material on the Web Store or for any other purpose not expressly authorized in these Terms of Use.
13. Use any device, software, or routine that interferes with the proper working of the Web Store.
14. Introduce, upload, post, email, transmit, or otherwise make available to any other user or person any material that contains any viruses, Trojan horses, worms, logic bombs, or other material, including computer codes, routine, files or programs, that is malicious or technologically harmful, or designed to directly or indirectly interfere with, manipulate, interrupt, destroy or limit the functionality or integrity of any computer software or hardware or data or telecommunications equipment.
15. Attempt to harm, disrupt, or otherwise engage in activity that diminishes the business and reputation of Coda and the capacity of the Web Store to serve other users, or hamper or interrupt the provision by Coda of the Web Store in any way;
16. Attempt to decompile, reverse engineer, disassemble or hack the Web Store (or any part of the Web Store), or to defeat or overcome any encryption technology or security measures established by or for the benefit of Coda with respect to the  Web Store and/or any data transmitted, processed or stored by Coda;
17. Attempt to gain unauthorized access to, interfere with, damage, disable, overburden, impair, interfere with or disrupt any parts of the Web Store, indirectly or directly, the server on which the Web Store is stored, or any server, networks, computer, or database connected to the Web Store.
18. Attack the Web Store via a denial-of-service attack or a distributed denial-of-service attack.
19. Conduct any form of capacity, load, or any form of stress testing on any sandbox or live environment of the Web Store.
20. Access and use the Web Store for the purpose of creating a competitive product of similar nature.
21. Remove any proprietary notices from the Web Store.
22. Charge others to use the Web Store.
23. Share your EA account details, PIN, or OTP with other persons; 
24. Use your EA account or control a Coda Account that is engaging in any of the activities set out in this Section 5; or
25. Otherwise attempt to interfere with the proper working of the Web Store. ‌ ‌

You understand that the list of user restrictions in this Section 5 is not exhaustive, and that acts analogous or similar to those listed above, and/or those that are in some other way unlawful, fraudulent, abusive, inappropriate, unreasonable or damaging, are also prohibited.

You are fully responsible for ensuring that all information and data you provide while using the Web Store, including the products or services provided therein, is accurate, complete, and up-to-date. We will not be liable for any issues, damages, or losses caused by your failure to do so.

We reserve the right to suspend or terminate your access to or disable your use of the Web Store without prior notice to you, if we suspect that your access to or use of the Web Store violates these Terms of Use.

6. Confidentiality and Personal Data 

‍We may access, collect, disclose, and/or process your personal data while providing you with the access to the Web Store or products or services offered on the Web Store. You acknowledge, accept, and understand that such access, collection, disclosure, and/or processing shall be in accordance with Coda’s Privacy Notice.

While accessing and using the Web Storeyou agree not to:

1. Harvest or collect any information about or regarding other users or persons, including without limitation any personal data or information;
2. Use the Web Store to collect or store personal data about other users or persons; and
3. Transmit, publish, share, disclose, or post another individual’s confidential or personal information.

You shall not upload, post, email, transmit, or otherwise make available through the Web Storeany content that you do not have a right to make available under any law or under any contractual or fiduciary relationships (such as inside information or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).

7. Third-Party Websites 

This Web Store may provide links to third-party sites. ‍Links to third-party sites provided through the Web Store may lead you to leave the Web Store. We make no representations about any other websites that may be accessed from this Web Store. Please note that the linked sites may not be under the ownership or control of Coda in any manner whatsoever, and therefore, you access them at your own risk. Coda has no knowledge or control of, and is not responsible for, the contents, terms of use, privacy practices, or goods/digital content/services of any such linked site, or any link contained within a linked site, including any changes or updates to such sites. The inclusion of any third-party link does not in any way imply or express affiliation, endorsement, or sponsorship by Coda of any linked site and/or any of its content and/or its goods/digital content/services.

We accept no responsibility for such sites or for any loss or damage that may arise from your use of them. You are subject to any terms and conditions of such third-party sites.

8. Online Purchases and Terms and Conditions

Coda is the authorized reseller of the digital content (“Digital Product”) available on this Web Store. 

All orders or purchases made through the Web Store are subject to Coda’s terms and conditions of sale (“Terms and Conditions”), found at Terms and Conditions incorporated herein by reference. Additional terms may apply to promotional campaigns or specific features of the Web Store. 

9. Additional Services or Features

Coda may offer additional services or features through the Web Store. Please refer to the specific terms and conditions that govern the use of such services or features, applicable in the countries where they are available.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODA WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEB STORE OR ANY SERVICES OR DIGITAL PRODUCTS OBTAINED THROUGH THE WEB STORE.

CODA AND ITS RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS (INCLUDING ELECTRONIC ARTS AND ITS AFFILIATES), SERVICE PROVIDERS AND REPRESENTATIVES WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTY FOR:

1. LOSSES THAT WERE NOT FORESEEABLE BY YOU AND US AT THE TIME OF YOU FIRST ACCEPTED THESE TERMS OF USE;
2. ANY BUSINESS LOSSES AND/OR LOSSES TO NON-CONSUMERS (FOR EXAMPLE LOSS OF BUSINESS, LOSS OF BUSINESS INFORMATION, BUSINESS INTERRUPTION AND LOSS OF PROFITS OR REVENUES);
3. LOSSES RESULTING FROM THIRD PARTY SERVICES, EQUIPMENT AND DEVICES THAT YOU USE TO ACCESS THE WEB STORE AND/OR DIGITAL PRODUCT;
4. ANY USE BY YOU OF THE WEB STORE AND/OR DIGITAL PRODUCT, INCLUDING WHERE YOU ARE IN BREACH OF THESE TERMS OF USE;
5. DAMAGE TO YOUR EQUIPMENT (E.G. DESKTOP, LAPTOP, MOBILE, SMARTPHONE, TABLET, GAMES CONSOLE OR OTHER INTERNET-ENABLED DEVICE) OR FOR ANY LOSS OR CORRUPTION OF DATA THAT RESULTS FROM YOUR USE OF THE DIGITAL PRODUCT OR ACCESS TO THE WEB STORE, EXCEPT THAT IF ANY DEFECTIVE DIGITAL PRODUCT THAT WE HAVE SUPPLIED TO YOU DAMAGES A DEVICE OR DIGITAL CONTENT BELONGING TO YOU AND THIS IS CAUSED BY OUR FAILURE TO USE REASONABLE CARE AND SKILL, WE WILL EITHER REPAIR THE DAMAGE OR PAY YOU COMPENSATION;
6. OUR CLOSURE OR SUSPENSION OF YOUR EA ACCOUNT IN ACCORDANCE WITH THESE TERMS OF USE;
7. THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED BY US OR THIRD PARTIES (INCLUDING PUBLISHERS) VIA THE WEB STORE;
8. ANY MISUSE OR UNAUTHORISED USE OF EA ACCOUNTS; OR
9. FAILURE OR DELAY BY CODA OR  AND ITS RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS (INCLUDING ELECTRONIC ARTS AND ITS AFFILIATES), SERVICE PROVIDERS AND REPRESENTATIVES TO PERFORM ITS OBLIGATIONS UNDER THESE TERMS, TO THE EXTENT THAT SUCH FAILURE OR DELAY IS CAUSED BY AN EVENT OR CONDITION BEYOND ITS REASONABLE CONTROL.

YOUR USE OF THE WEB STORE, ITS CONTENT, AND ANY SERVICES OR DIGITAL PRODUCTS OBTAINED THROUGH THE WEB STORE IS AT YOUR OWN RISK. THE WEB STORE, ITS CONTENT, AND ANY SERVICES OR DIGITAL PRODUCTS OBTAINED THROUGH THE WEB STORE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER CODA NOR ANY PERSON ASSOCIATED WITH CODA MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEB STORE. WITHOUT LIMITING THE FOREGOING, NEITHER CODA NOR ANYONE ASSOCIATED WITH CODA REPRESENTS OR WARRANTS THAT THE WEB STORE, ITS CONTENT, OR ANY SERVICES OR DIGITAL PRODUCTS OBTAINED THROUGH THE WEB STORE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEB STORE OR ANY SERVICES OR DIGITAL PRODUCTS OBTAINED THROUGH THE WEB STORE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. YOU AGREE AND UNDERSTAND THAT THE AVAILABILITY OF THE WEB STORE IS DEPENDENT ON THE NETWORK AND SYSTEMS AVAILABILITY OF OUR SERVICE PROVIDERS, THE PAYMENT CHANNELS, THE PUBLISHERS, AND/OR OUR AFFILIATES AND SUBSIDIARIES. THE WEB STORE MAY FROM TIME TO TIME BE DELAYED, INTERRUPTED OR DISRUPTED FOR AN INDETERMINATE PERIOD OF TIME. IN THE EVENT OF ANY OF THESE CIRCUMSTANCES, CODA SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM OR IN CONNECTION WITH ANY SUCH DELAYS, INTERRUPTIONS; AND DISRUPTIONS, LIMITATIONS, SUSPENSIONS, TERMINATION OR THE LIKE TO THE WEB STORE AND/OR SERVICES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODA HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODA AND ITS RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS (INCLUDING ELECTRONIC ARTS AND ITS AFFILIATES), SERVICE PROVIDERS AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE, YOUR USE OR INABILITY TO USE THE WEB STORE (INCLUDING THE INABILITY TO MAKE A PURCHASE), OR ANY DIGITAL PRODUCTS PURCHASED OR TRANSACTIONS ENTERED INTO VIA THE WEB STORE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CODA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF CODA AND ITS RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS (INCLUDING ELECTRONIC ARTS AND ITS AFFILIATES), SERVICE PROVIDERS AND REPRESENTATIVES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE OR THE TRANSACTIONS CONTEMPLATED HEREIN, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY, OR OTHER THEORY), WARRANTY, OR OTHERWISE, EXCEED THE AMOUNT OF PAYMENT THAT YOU HAVE MADE VIA THE WEB STORE FOR THE TRANSACTION GIVING RISE TO THE CLAIM FOR LIABILITY.

NOTWITHSTANDING ANY LAW, RULE OR REGULATION TO THE CONTRARY, YOU AGREE THAT ANY CLAIM YOU MAY HAVE ARISING OUT OF THESE TERMS OF USE MUST BE BROUGHT OR FILED BEFORE THE RELEVANT TRIBUNAL IN THE JURISDICTION WHERE YOU ARE LOCATED WITHIN ONE (1) YEAR AFTER SUCH CLAIM COULD BE FIRST FILED. ANY CLAIMS BROUGHT AFTER SUCH A PERIOD SHALL BE FOREVER BARRED.

12. Indemnification

You agree to defend, indemnify, and hold harmless Coda, its affiliates, licensors (including, but not limited to Electronic Arts), and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use, access to and use of the Web Store and Digital Products, and/or any dispute or issue between you and any third party.

13. General 

13.1 User Declarations

All use or access of the Web Store including the transactions relating to the Digital Product on the Web Store is not directed to persons under the age of majority in your country (a “minor”).Subject to specific age restrictions imposed in your country, and unless otherwise set forth in these Terms of Use, permission and consent from a parent or legal guardian is required for minors. By proceeding with access or use of the Web Store, such parent or legal guardian will be deemed to have agreed to these Terms of Use on the minor’s behalf and will be responsible for such access or use, including the creation and use of account in the Web Store, purchases or transactions made by the minor, and whether or not the minor was under supervision during such purchase. As such, purchases cannot be cancelled on the grounds that they were made without the permission, consent, and/or supervision of the parent or guardian.

You warrant (i.e., promise) that you are using the Web Store and Digital Product on a machine or device over which you have ownership, or whose use by you has been authorised by the owner of such machine or device.

You represent and warrant that you are not located in, or a resident of, any country or territory subject to economic sanctions or trade embargoes imposed by any applicable governmental authority, including, but not limited to, the United Nations, United States, European Union, and any other sanctions regimes. You also confirm that you are not listed on any sanctioned party lists and will comply fully with all relevant export laws, sanctions, and regulations applicable to your use of Web Store and its related products and/or services.

13.2 Governing Law and Jurisdiction

Unless otherwise stated in the Terms and Conditions:

These Terms of Use shall be governed by and construed according to the laws of Singapore without regard to its conflicts-of-law provisions.

We shall endeavour to amicably resolve any disputes that arise out of or in connection with these Terms of Use (including any question regarding its existence, validity or termination), but in the event that such efforts shall fail, such dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference into this section on Governing Law and Jurisdiction. The seat of arbitration shall be Singapore, and the tribunal shall consist of one (1) arbitrator. All arbitration proceedings shall be in the English language. The decision of the arbitrator shall be final and binding.

13.3 Waiver and Severability

No waiver by Coda of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Coda to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. ‌

13.4 Notices

‍We may make any notices that we may be required by law to make in electronic format (such as but not limited to when you visit the Web Store, via forms or emails, when we post notices or updates to these Terms of Use, or when Coda communicates with you via your email or mobile phone number). You consent to receive communications from us in electronic form and agree that all terms and conditions, notices, rules, disclosures, policies, and other communications from Coda provided electronically to you shall be deemed to satisfy any legal requirement relating to communications in writing and shall be deemed to be given on the date of the electronic communication.

13.5 No endorsement

‍References to goods, services, and/or businesses on the Web Store do not constitute or imply an endorsement, approval or recommendation by Coda. The inclusion of any third-party link does not in any way imply or express affiliation, endorsement, or sponsorship by Coda of any linked site and/or any of its content therein.

13.6 Security

‍We take all reasonable steps to preserve the security of the information that you provide to us. Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst Coda strives to protect all data transmissions over the Internet (including your information) and has adopted substantial measures to mitigate security risks, Coda does not warrant and cannot ensure the absolute security of any information which you transmit to us. As such, any information which you transmit to Coda is transmitted at your own risk.

13.7 Relationship

‍Nothing in these Terms is intended to or creates any type of joint venture, employee-employer, creditor-debtor, escrow, partnership, or any fiduciary relationship between you and Coda.

13.8 Assignment

‍You may not assign any of your rights or obligations under these Terms of Use, or any part of it, to any other party without our prior written approval. Any attempt by you to do so without our prior written approval shall be deemed null and void. 13.9 Localized terms

‍These Terms of Use were prepared in English. To the extent that any translated localized version of the Terms of Use conflict with the English version, the terms of the English version prevail.
